The Official Orange Shop, available on the website <https://achatsgoodies.orange.com> (hereinafter the "Website"), is operated by the company FULL ACE, a French simplified joint-stock company (S.A.S) with capital of €1,120,000, registered with the Bordeaux Trade and Companies Register under number 349 592 428, whose registered office is located at 16 rue Chanzy, MÉRIGNAC (33700), France - APE code 4649Z - VAT: FR 07 34 95 92 428.

The Seller's Customer Service contact details are as follows:

Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays).

The purpose of these general terms and conditions of sale is to define the terms and conditions of distance selling between the company FULL ACE, operator of the Official Orange Shop (hereinafter the "Seller"), on the one hand, and any natural or legal person having legal capacity within the meaning of the French Civil Code (hereinafter the "Customer"), on the other hand. The question of the validity of the authority to enter into a contract is the sole responsibility of the Customer, and under no circumstances that of the Seller, with regard to whom any sale shall be valid, subject to applicable contractual and legal provisions.

They specify in particular the various steps required to place an order, the terms of payment, delivery, tracking of the Customer's order, as well as the terms for the return and refund of Products.

These general terms and conditions apply to the exclusion of all other conditions, and in particular those applicable to sales made on platforms other than this Website. They are accessible at all times on the Website and shall prevail, where applicable, over any other version or contradictory document.

ARTICLE 3 – PRODUCTS OFFERED FOR SALE

Generally speaking, the Products offered for sale on the Website are as follows (hereinafter the "Products"): branded items and clothing.

The presentation of each Product is accompanied by an information sheet describing its essential characteristics and properties. This sheet is prepared with the utmost accuracy and precision to enable the User to have a faithful and complete description of the Product. The User is required to read it before placing any Order.

The User has the option of contacting the Seller's Customer Service, prior to placing their order, by phone or email, for any additional information about the Product. Consequently, the choice and purchase of a Product is the sole responsibility of the Customer.

In particular, the photographs and graphics illustrating the Products presented on the Website are not contractually binding, they are for indicative purposes only, and cannot engage the Seller's liability. The Seller will nevertheless endeavour to ensure that these photographs are as accurate as possible to the Product.

The Seller reserves the right to add new Products at any time, to remove all or part of the Products presented on the Website, or to modify their presentation, without any specific formalities towards the User.

ARTICLE 4 – DURATION AND VALIDITY OF THE PRODUCT OFFER

Product offers are valid as long as they are visible on the Website. The Seller undertakes to fulfil orders received only within the limits of available Product stock, as specified when the Order is placed.

In the event of unavailability of an ordered Product after the order has been placed, for example due to a stock error, the Seller will make every effort to inform the Customer as soon as possible, by email or phone. Should the Customer have ordered several Products, they will have the option of cancelling the part of the order relating to said Product, with the rest of the order remaining firm and final.

Following this cancellation, the Customer may, at their choice, either wait until the next delivery of the Product, the timeframe for which will be specified to them, or be refunded the price of the item ordered, within fourteen (14) days of their request.

CHAPTER 2 – ORDERS

ARTICLE 5 – PLACING THE ORDER

5-1. Selecting items

It is the Customer's responsibility to select the Product(s) they wish to order on the Website, in order to add them to their basket.

The Customer has the option of checking the details of their order (item, quantity, size, colour, total price, etc.), based on the references of the offers visible on the Website, and of correcting any errors before confirming their acceptance. Information on the availability of the item(s) is provided when the order is placed. It is the Customer's responsibility to check the accuracy of the order and to immediately report or correct any error.

5-2. Identification

Every User must necessarily create an account on the Website in order to be able to register their order.

The Customer may follow a registration procedure enabling them to obtain a customer account.

Creating an account on the Website will require the User concerned to provide their email address and the password they have chosen. The User is responsible for the confidentiality of their password and customer account, as well as for any act involving the use thereof.

5-3. Validation and payment of the order

Registration of an order on the Website is finalised when the Customer accepts these General Terms and Conditions of Sale by ticking the box provided for this purpose, and then confirms their order by clicking on the "Order" icon. This confirmation constitutes acceptance of the prices and description of the Products available for sale, as well as of these General Terms and Conditions of Sale in their entirety.

The Customer must then provide their address, choose the delivery method and the payment method they intend to use. After viewing a summary of the said order, they must finalise it definitively by making payment.

5-4. Confirmation of the order and formation of the sales contract

The sale is only final once confirmation of acceptance of the order has been sent to the Customer by the Seller by email, which must be sent without delay and after the Seller has collected the full price.

Any order placed, validated by the Customer and confirmed by the Seller, under the conditions and in the manner described above on the Website, constitutes the formation of a distance contract between the Customer and the Seller.

Unless proven otherwise, the data recorded in the Seller's computer system constitutes proof of all transactions concluded with the Customer.

5-5. Refusal of order

The Seller reserves the right to refuse to fulfil an order or make a delivery, in cases where the Customer has not paid, in full or in part, for a previous order, or has not complied with the payment terms set out below, or in cases where a payment dispute remains unresolved.

ARTICLE 6 – MODIFICATION OR CANCELLATION OF THE ORDER

As long as the order has not been confirmed at the payment stage, the Customer may make changes and modify their basket; they may thus remove an item, or simply continue shopping. To do so, simply click on "My basket" and make the desired changes.

On the other hand, once payment has been confirmed, the transaction is recorded and there is no recourse to modify or cancel it online. The Customer must wait to receive the Product(s) in order to carry out the return procedure after delivery of their parcel (within fourteen (14) days of receipt), in order to obtain a refund from the Seller, subject to the conditions set out in Article 18.

______________________________________________________________________

CHAPTER 3 – PRICES AND PAYMENT TERMS

ARTICLE 7 – PRICE

The prices of the Products are those shown on the Website, and in particular on the Product page, on the day it is viewed by the Customer. They are stated in euros, inclusive of all taxes, excluding shipping costs. They take into account the VAT applicable on the day of the order. The Seller reserves the right to pass on to the price of the Products any change in the applicable rate, as well as the creation of any new taxes and/or contributions that may be due, for example in environmental matters.

The prices take into account any discounts that may be granted, on an occasional basis, by the Seller.

The Seller also reserves the right to modify its prices at any time. It undertakes, however, to apply the prices in effect at the time the Customer places the order, subject to availability on that date.

The price indicated does not include processing, shipping, transport and delivery costs, which will be invoiced in addition, calculated prior to placing the order, and detailed, where applicable, in the summary of the said Order, unless there is a special offer exempting such costs. Furthermore, if the Customer chooses a faster and more expensive shipping method than standard shipping, the additional delivery costs, as they appear when the order is confirmed, shall be borne entirely by the Customer.

The final payment requested from the Customer corresponds to the total amount of the purchase, including delivery costs.

An invoice is drawn up by the Seller and given to the Customer upon delivery of the ordered Products.

ARTICLE 8 – PAYMENT TERMS

The price is payable in cash and in euros, in full on the day the Customer places the order, by secure payment, in accordance with the terms mentioned below in Article 9.

Payments made by the Customer shall only be considered final once the Seller has actually collected the amounts due.

An order shall be considered settled once all the Products have been shipped and the Customer has paid in full for the Products and their contribution to delivery costs, unless there is a special offer exempting such costs.

No additional fee, exceeding the costs incurred by the Seller for the use of a payment method, may be charged to the Customer.

ARTICLE 9 – PAYMENT METHODS

9-1. Secure payment by credit card

Payment is made online by credit card when the Customer places the order. The cards accepted are as follows: Carte Bleue, Visa, Mastercard, Maestro.

The Customer is then redirected to the payment provider's page (Payplug) where they will choose to pay for their order by Carte Bleue, Visa, Mastercard or Maestro, following the instructions provided.

Payplug's General Terms and Conditions are available here: GTC (payplug.com)

The Seller reserves the right to cancel an order that, during bank details verification, presents a risk of fraudulent use of a credit card, or in the event of a refusal of payment authorisation by banking institutions.

Payment by credit card is irrevocable, except in the event of fraudulent use of the card, under the conditions set out in the French Monetary and Financial Code.

9-2. Payment by PayPal account

The Seller has also adopted the PayPal payment system, which allows account holders to make their purchases on the Website through this means. This solution limits the information that the Customer communicates to the Seller and guarantees the compliance and security of each transaction.

For payment via a PayPal account, it is PayPal's general terms and conditions of use that apply, available here: PayPal Terms of Use = https://www.paypal.com/fr/webapps/mpp/ua/useragreement - full

ARTICLE 10 – RETENTION OF TITLE

The Seller retains full ownership of the Products subject to the sale until full payment of all amounts owed by the Customer in connection with the Order (including costs, taxes and/or contributions) has been collected. Transfer of ownership of the Products from the Seller to the Customer shall therefore only take place once the Customer has paid the price in full, regardless of the delivery date of the said Products.

CHAPTER 4 – DELIVERY

ARTICLE 11 – ORDER TRACKING

Following confirmation of their order, an email will be sent to the Customer within a reasonable time, containing a link to the order details and confirming:

• Registration of their order;

• Details of the ordered Product(s);

• A summary of their Personal Information, including the delivery address.

The Seller will subsequently automatically send an email informing the Customer that their order has been shipped and of the expected delivery times via La Poste, or the carrier specifically chosen by the Customer (delivery times vary depending on the carrier chosen).

The Seller cannot under any circumstances be held liable for a failure to provide information in the event that the Customer has provided a false or incorrect email address.

The Customer may, at any time, log in to their customer account to track the progress of their order, in the "Order history and details" section.

For any question relating to tracking their order, the Customer may also contact the Seller's Customer Service: orange@groupe-fullace.fr - 05 35 56 95 71 (cost of a local call, not a premium rate number) – Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays).

ARTICLE 12 – PLACE OF DELIVERY

Products ordered by the Customer are sent to the delivery address indicated by the Customer when placing the order.

In particular, ordered Products are delivered to the following geographic areas: • Mainland France and Corsica;

• European continent:

Germany, Austria, Belgium, Bulgaria, Cyprus, Croatia, Denmark, Spain, Estonia, Finland,

Greece, Hungary, Ireland, Iceland, Italy, Latvia, Lithuania, Luxembourg, Malta, Norway, Netherlands,

Poland, Portugal, Czech Republic, Romania, United Kingdom, Slovakia, Slovenia, Sweden, Switzerland,

For any delivery outside the geographic areas mentioned above, the Customer must contact the Seller's Customer Service: orange@groupe-fullace.fr – 05 35 56 95 71 (cost of a local call, not a premium rate number) – Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays).

ARTICLE 13 – DELIVERY TERMS

Unless otherwise stated, if the Customer orders several Products, they will be delivered in a single shipment. In any event, delivery is deemed to have taken place as soon as the item is handed over to the Customer, in particular by the carrier.

13-1. Deliveries in mainland France, Corsica, French Overseas Territories

• Home delivery – Standard Colissimo delivery with signature

Details of delivery costs are provided when each order is placed.

13-2. Deliveries within the European Union

Deliveries within the European Union and, more generally, on the European continent, are handled by Colissimo. The Customer is invited to refer to the rates indicated when placing their order to find out shipping costs to Europe.

ARTICLE 14 – DELIVERY TIME

14-1. Principles

The Seller undertakes to make every material and human effort to have the Products delivered as soon as possible, and no later than thirty (30) days after registration of the order, subject to the Seller having fully collected the amounts due from the Customer and within the limits of available Product stock.

Timeframes may vary depending on the geographic area of the delivery location, the delivery method or the Product ordered by the Customer.

Regarding pre-order or out-of-stock Products, the delivery time is understood to run from the date the Products become available. In this case, the Seller will specify to the Customer the estimated date of the next delivery.

The Customer is required to pay particular attention to the contact details completed in the order form and in particular to the delivery address. The Seller cannot be held liable in the event of delay, absence or impossibility of delivery due to the address provided by the Customer, particularly if the said address proves to be false or incorrect.

In the event that delivery is rendered impossible, in particular due to an error in the delivery address provided by the Customer, the parcel will be returned by the carrier to the Seller. The same applies in the event of an unclaimed parcel by the Customer.

The Customer will have the option of contacting the Seller's Customer Service to provide a new address and, at the latter's request, the order will be reshipped, in which case the additional delivery costs will be borne by the Customer. However, if within a period of two (2) months from the return of the parcel to the Seller, the Customer has not come forward to request reshipment of the parcel, the latter shall then be considered "unclaimed". In this case, the Seller reserves the right to unilaterally terminate the sales contract, without prior formal notice. The product(s) may then be put back on sale by the Seller, who will refund the Customer the amount of their order, at the price invoiced excluding delivery, with delivery costs remaining the Customer's responsibility.

Furthermore, the Seller's liability cannot be engaged for reasons related to exceeding delivery times:

• During periods of high demand, such as the end-of-year holiday period,

• For delays caused by a case of force majeure, i.e. due to the occurrence of an event beyond its control, which could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures, such as a strike, or in the event of an epidemic or pandemic,

• For facts attributable exclusively to the carrier responsible for delivery.

In any event, in accordance with legal provisions, in the event of a delivery delay exceeding six (6) weeks, the Customer has the option of terminating the contract under the conditions and terms defined in Article L.216-2 of the French Consumer Code. In this case, if the Customer has received the Product after its cancellation, the Seller will refund the Product and the outbound shipping costs under the conditions of Article L.216-3 of the French Consumer Code.

14-2. Conditions specific to certain carriers

For information purposes, if the Customer chooses home delivery, their parcel will be shipped within 2 to 5 working days. Additional timeframes may apply to deliveries to Corsica, as well as to Europe.

ARTICLE 15 – DELIVERY – RESERVATIONS

The Customer is required to check the condition of the delivered Products, especially if the original packaging has been damaged, torn or opened, to verify that they are not damaged. If they find that the Products are damaged, they must refuse the parcel and note their reservations on the delivery slip.

Generally speaking, the Customer must indicate on the delivery slip, in the form of handwritten reservations accompanied by their signature, any non-conformity of the Products, in nature or quality, with respect to the details on the order form. This check is considered to have been carried out as soon as the Customer has signed the delivery slip.

In any event, the Customer has a right to lodge a complaint within 7 days of delivery of the Products. To exercise this right, the Customer must send the

Seller, at the address orange@groupe-fullace.fr – Monday to Friday from 9am to 12pm and 2pm to

5pm (excluding public holidays), a statement in which they express their reservations and complaints, accompanied by supporting documents (receipt slip countersigned by the carrier, photographs, etc.).

After this period, and failing compliance with these formalities, the Products shall be deemed to conform to the order and no complaint may be validly accepted by the Seller.

After receiving the said complaints, the Seller undertakes to exchange the Product, issue a credit note, or refund the Customer, provided that the lack of conformity or apparent or hidden defects of the Products have been duly proven by the Customer, under the conditions set out in Article 22.

ARTICLE 16 – RIGHT OF WITHDRAWAL

In accordance with applicable legal provisions, the consumer Customer has a period of fourteen (14) working days from receipt of the Product to exercise their right of withdrawal with the Seller, without having to justify any reason or pay any penalty. Once this period has expired, the Customer no longer has this right of withdrawal.

To exercise their right of withdrawal, the Customer must notify the Seller of their decision to withdraw from the Order:

- either by contacting Customer Service: orange@groupe-fullace.fr – Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays);

- or by completing the Withdrawal form available in the appendix below. If the Customer chooses to complete the template provided in the appendix, it must be signed and returned by email: orange@groupe-fullace.fr – Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays).

CHAPTER 5 – RETURNS, REFUNDS AND EXCHANGES

ARTICLE 17 – RETURNS

17-1. Return terms

When the Customer exercises their right of withdrawal, or in the event of non-conformity of the ordered Products, the Products must be returned to the Seller, directly by post, within fourteen (14) days, as applicable, following the date of receipt of the order, or following notification to the Seller of the Customer's decision to withdraw, to the following address:

FULL LOGISTIQUE – Official Orange Shop

LIEU-DIT AU PETIT PIERRE

Immeuble le KITE

137 rue Dauphine

33127 Saint-Jean-d'Illac, France

Products are returned under the following conditions:

- accompanied by the "Return form" provided by Customer Service, following prior notification of the return of the Products by the Customer;

- accompanied by the corresponding original invoice;

- in their original packaging;

- complete (multiple Products, tags, accessories, instructions, etc.); - clean and unworn; - neither damaged nor deteriorated;

- in perfect resalable condition.

Any Product that has been damaged, spoiled, incomplete, soiled, or whose original packaging has deteriorated, and which has not been the subject of written reservations by the Customer, under the conditions described in Article 15, will not be accepted.

In the event of a return due to non-conformity of the Product, the Customer undertakes to include with their parcel all supporting documents establishing proof of the non-conformity and/or defect (delivery note, photographs, etc.).

17-2. Return shipping costs

In the event the legal right of withdrawal is exercised, return costs remain the Customer's responsibility. In this context, and for better security, the Customer is advised to send the return by registered post with acknowledgement of receipt or any other means allowing the parcel to be tracked.

In the event of non-conformity or hidden defect of the Product, return costs are borne by the Seller. To do so, the Customer must contact Customer Service so that a return label can be provided to them: orange@groupe-fullace.fr – Monday to Friday from 9am to 12pm and 2pm to 5pm (excluding public holidays).

ARTICLE 18 – EXCHANGES - REFUND

18-1. Principles

In the event of withdrawal, duly justified non-conformity or hidden defect, or in the event of cancellation of the order due to unavailability of the Product, the Seller undertakes to refund the amount of the Customer's order within fourteen (14) calendar days. The refund will be made using the same payment method as that used for the purchase, by credit to the Customer's bank account, and will not entail any cost to the Customer.

However, the refund may be deferred until the Seller has recovered all the Products.

For exchanges:

Only a change of size and/or colour may be exchanged. It will not be possible to exchange one model for another. To exchange one product for another, the Customer must return it, at their own expense, and make a new purchase.

18-2. Special cases – Promotional offers – New orders

In the event of a refund request for Products purchased during promotional offers, the Seller reserves the right to require the return of all Products making up the promotional offer concerned.

ARTICLE 19 – SPECIFIC TERMS OF SALE APPLICABLE DURING SALES PERIODS, CLEARANCE SALES, PROMOTIONAL OFFERS

The Customer is informed that, during sales periods, clearance sales and/or special promotional offers, the special terms of sale defined below shall apply:

- by way of exception to Articles 17 and 18 above, returned Products cannot be exchanged and will automatically result in a refund, under the conditions and in the manner set out in Article 18-1.

- any promotional codes that the Customer may benefit from are not applicable during the period concerned.

CHAPTER 6 – SELLER'S LIABILITY AND WARRANTY

ARTICLE 20 – LIMITATION OF LIABILITY

Placing an order implies knowledge and acceptance of the characteristics and limitations of the Internet. In particular with regard to technical performance, response times for consulting, querying or transferring information, risks of interruption, and more generally, the risks inherent in any connection and transmission over the Internet, the lack of protection of certain data against potential misuse, and the risks of contamination by any viruses circulating on the Internet.

Consequently, the Seller cannot, under any circumstances, be held liable for any direct or indirect damage arising from an interruption, any malfunction whatsoever, or any direct or indirect damage that would result, in any way, from a connection to the Website.

It is the responsibility of anyone connecting to the Website to take all appropriate measures to protect their own data and/or software stored on their computer equipment against any infringement. Any person connecting to the Website does so entirely at their own risk.

The Products offered comply with French legislation in force. The Seller's liability cannot be engaged in the event of non-compliance with the legislation of the country to which the product is delivered, for example in the event of a product being prohibited. It is the Customer's responsibility to carry out these checks before placing their order.

Similarly, the Seller's liability cannot be engaged in the event of misuse for professional purposes, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the Product, accident or force majeure.

As mentioned above herein, the Seller cannot under any circumstances be held liable for delivery delays for reasons beyond its control, independent of its will or for which it cannot be held at fault.

ARTICLE 21 – FORCE MAJEURE

In the event of force majeure, as defined by Article 1218 of the French Civil Code, performance of the Seller's services shall be suspended in whole or in part.

Force majeure means any event beyond the Seller's control, which could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures, and which prevents it from performing its obligation. For the purposes hereof, the following constitute an event of force majeure: generalised strikes, wars, riots or cases of epidemics or pandemics.

In the event of an event qualified as force majeure under the preceding paragraph, the Seller undertakes to notify the Customer as soon as possible.

ARTICLE 22 – LEGAL WARRANTIES

The Products offered for sale by the Seller benefit, independently of the right of withdrawal and any other commercial guarantee that may be granted by the Seller:

- from the legal guarantee of conformity, for products that are apparently defective, damaged or deteriorated, or do not correspond to the order;

- from the legal guarantee against hidden defects, arising from a material, design or manufacturing defect, affecting the delivered products and rendering them unfit for use.

In any event, the Seller's guarantee is limited to the replacement or refund of non-conforming or defective Products.

22-1. Legal guarantee of conformity

It is noted that, under the legal guarantee of conformity, the Customer:

- has a period of two (2) years from delivery of the goods to take action against the Seller;

- may choose between repair or replacement of the ordered Product with a Product conforming to their order, subject to the cost conditions set out in Article L.217-9 of the French Consumer Code;

- may request a refund of the ordered Products;

- is exempt from providing proof of the existence of the Product's lack of conformity during the twenty-four (24) months following delivery of the Product.

22-2. Legal guarantee against hidden defects

The Customer may decide to invoke the guarantee against hidden defects of the Products sold, within the meaning of Article 1641 of the French Civil Code.

The Customer must provide proof of a hidden defect, predating the sale and preventing use of the product.

If such proof is provided, the Customer then has the option of either terminating the sale or obtaining a reduction in the sale price, in accordance with Article 1644 of the French Civil Code.

It is noted that the action for the guarantee against hidden defects must be exercised within a period of two (2) years from the discovery of the defect, in accordance with Article 1648 of the French Civil Code.
